Welcome to your Space (the "Service"). These Terms of Service (the "Terms") are a binding legal agreement between you and the operator of the Service. Please read them carefully. They include important limitations of our liability, a disclaimer of warranties, and rules about governing law and jurisdiction.
By ticking the acceptance box and creating an account, or by otherwise using the Service, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you do not agree, do not create an account or use the Service.
1. Who we are
The Service is operated by Orel Ashush, a sole proprietor (עוסק) in the State of Israel ("we", "us", "our" or the "Operator"). You can contact us at orel.asc11@gmail.com.
2. Definitions
- "Service" means the website at your-merhav.com and any related domains, pages, tools, features, content and software we make available, including the Expense Journal and any tool added in the future.
- "Account" means the personal account you create by signing in with Google.
- "User Content" means any file, data or information you upload to or enter into the Service, including credit-card statement files and the transaction details extracted from them.
- "Output" means any summary, category, chart, total, export or other result the Service produces from User Content.
- "Pro" or "Subscription" means a paid plan that grants access to paid features of the Service.
- "Paddle" means Paddle.com Market Limited and its affiliates, our authorized reseller and Merchant of Record for Subscriptions.
3. Acceptance, electronic consent and capacity
3.1. You accept these Terms electronically by ticking the acceptance box when creating your Account, or when asked to accept an updated version. You agree that this electronic acceptance is valid, binding and enforceable as if you had signed these Terms in writing, and that we may keep an electronic record of your acceptance (including its date, time, version, IP address and browser details) as evidence.
3.2. You may use the Service only if you are at least 18 years old and legally capable of entering into a binding contract. By using the Service you represent that you meet these requirements.
3.3. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms, and "you" includes that business.
4. Your Account
4.1. You sign in using your Google account. You must provide accurate information and keep your Google account secure. You are responsible for all activity that takes place through your Account, whether or not you authorized it, except to the extent caused by our breach of these Terms.
4.2. You must notify us promptly at orel.asc11@gmail.com if you suspect any unauthorized use of your Account.
4.3. Accounts are personal. You may not sell, transfer, share or sublicense your Account or allow others to use it.
4.4. Two-step verification. To protect the sensitive financial information in the Service, using tools that hold financial information (currently the Expense Journal) requires, in addition to your Google account, turning on two-step verification and entering a code from an authenticator app on a device you control. You are responsible for keeping that device and your backup codes secure and confidential, and for not choosing "remember this device" on shared or public computers. If you lose access to both your authenticator and your backup codes, we may restore access only after verifying your identity to our reasonable satisfaction, and we may refuse or delay restoring access where we cannot. To the maximum extent permitted by law, we are not liable for loss of access or for unauthorized access resulting from your failure to keep these factors secure.
5. The Service
5.1. The Service is a collection of personal productivity tools. The Expense Journal reads credit-card statement files in supported formats (currently Excel exports from Max, Isracard and Cal), extracts transaction details, and helps you categorize and summarize your expenses.
5.2. Tools, features, supported file formats, supported banks and card companies, and any other characteristics of the Service may change over time. Any tool described as "coming soon" or similar is a statement of intent only and not a commitment that it will be released, on any date or at all. Your decision to use or pay for the Service must not rely on any future feature.
5.3. We may add, change, suspend or discontinue any part of the Service at any time. If we permanently discontinue a paid feature that is central to an active Subscription, we will give you reasonable advance notice where practicable and handle any refund in accordance with the Cancellation & Refund Policy and applicable law.
5.4. Names and logos of banks and card companies shown in the Service are trademarks of their respective owners and are displayed solely to indicate file-format compatibility. There is no affiliation, partnership, endorsement or sponsorship between us and any bank or card company.
6. No financial, tax, legal or professional advice
The Service and all Outputs are provided for general informational and personal-organization purposes only. Nothing in the Service is, or should be relied on as, financial, investment, tax, accounting, legal, credit or any other professional advice, or as a recommendation to take or refrain from any action.
6.1. We are not licensed investment advisers, investment marketers, portfolio managers, accountants, tax advisers or lawyers, and the Service is not provided under the Israeli Regulation of Investment Advice, Investment Marketing and Portfolio Management Law, 5755-1995, or any similar law.
6.2. You are solely responsible for any decision you make, or refrain from making, based on the Service or any Output, including budgeting, spending, saving, cancelling subscriptions, disputing charges, tax reporting or any financial or business decision. Before making any significant decision, consult a qualified professional.
7. Accuracy of data and Outputs
7.1. Outputs are generated automatically from files produced by third parties (banks and card companies) whose formats may change without notice. Parsing, recognition of amounts and dates, identification of business names, and categorization may be incomplete, inaccurate or wrong, including because of changes in file formats, unusual transactions, foreign currency, refunds, installments, fees, or data in your file.
7.2. We do not warrant that any Output is accurate, complete, current or suitable for any purpose. You must check every Output against your original statement from your bank or card company, which is the only authoritative record of your transactions.
7.3. Categories suggested or "learned" by the Service are based on your own past choices and the content of your files, and are not a statement of fact about any business or charge.
8. Your User Content
8.1. Ownership. You keep all rights you have in your User Content. We do not claim ownership of it.
8.2. License to us. You grant us a non-exclusive, worldwide, royalty-free license, for as long as your User Content is stored in the Service, to host, store, copy, process, analyze, transform and display your User Content solely to operate, provide, secure and improve the Service for you, and as described in our Privacy Policy. We will not sell your User Content.
8.3. Your responsibility. You represent and warrant that: (a) you are entitled to upload and process all User Content you provide; (b) your User Content relates to you, or you have all consents and authorizations required to upload it; (c) your User Content does not violate any law or any third party's rights; and (d) you will not upload full payment-card numbers, CVV codes, passwords, identification numbers or other sensitive data the Service does not need.
8.4. Keep your own copies. The Service is not a backup or archiving service. You are responsible for keeping your own copies of your original statements and of any Output you need. To the maximum extent permitted by law, we are not responsible for any loss, corruption or deletion of User Content or Outputs.
9. Acceptable use
You agree not to, and not to allow anyone else to:
- use the Service in violation of any law, or for any fraudulent, harmful or unauthorized purpose;
- upload another person's financial or personal data without their authorization;
- upload malware, or any file designed to damage, overload, disrupt or gain unauthorized access to the Service or any system;
- probe, scan or test the vulnerability of the Service, or breach or circumvent any security, authentication, access-control, billing or usage limitation;
- copy, scrape, crawl, harvest or index the Service or its data by automated means, except as expressly permitted by us;
- reverse engineer, decompile, disassemble or attempt to derive the source code of the Service, except to the extent such restriction is prohibited by law;
- resell, rent, lease, sublicense, or provide the Service to third parties, or use it to build a competing product;
- interfere with other users' use of the Service, or impersonate any person or misrepresent your affiliation;
- use the Service in a way that could expose us or our providers to legal liability or reputational harm.
10. Pro Subscriptions, payments and renewals
10.1. Merchant of Record. Subscriptions are sold by Paddle as our authorized reseller and Merchant of Record. Paddle processes your payment, issues your invoice or receipt, and is responsible for collecting and remitting applicable taxes. When you purchase a Subscription, you also enter into a purchase agreement with Paddle under Paddle's Buyer Terms, and Paddle's privacy notice applies to the payment information you give Paddle. We never receive or store your full card details.
10.2. Price. The price, currency, billing interval and any applicable taxes are shown before you confirm your purchase. Prices on our website are for information only; the price shown in the Paddle checkout at the time of purchase is the price that applies.
10.3. Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly, as you choose) and your payment method will be charged the then-current price, unless you cancel before the renewal date. You can cancel at any time through "Manage subscription" in your Settings page or through the link in your Paddle receipt.
10.4. Effect of cancellation. Unless required otherwise by law or stated in the Cancellation & Refund Policy, cancellation takes effect at the end of the current paid billing period; you keep access to Pro features until then and you will not be charged again.
10.5. Price changes. We may change Subscription prices. We will notify you at least 30 days before a price change affects your Subscription. The new price applies from your next renewal after the notice period. If you do not agree, you may cancel before the change takes effect.
10.6. Failed payments. If a payment fails, Paddle may retry the charge. We may suspend access to Pro features until payment succeeds, and may cancel the Subscription if payment is not made within a reasonable time.
10.7. Plan changes. You may switch between monthly and yearly billing through the subscription management page. Any proration or credit is calculated and applied by Paddle as shown before you confirm the change.
11. Cancellation rights and refunds
Your rights to cancel a purchase and receive a refund, including any statutory cancellation right under the Israeli Consumer Protection Law, 5741-1981, are described in our Cancellation & Refund Policy, which forms part of these Terms. Nothing in these Terms limits any right you have under mandatory consumer-protection law.
12. Intellectual property
12.1. The Service, including its software, design, text, graphics, logos, trade names and all related intellectual property rights, is owned by us or our licensors and is protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own personal or internal purposes.
12.2. You receive no rights in the Service other than those expressly granted in these Terms.
12.3. If you send us feedback, ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them for any purpose without obligation to you.
13. Third-party services
The Service relies on third-party services, including Google (sign-in and cloud hosting), our database provider, and Paddle (payments). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services, their availability, acts or omissions, and to the maximum extent permitted by law we are not liable for any loss or damage caused by them, including outages, data incidents or changes they make.
14. Availability and maintenance
We work to keep the Service available and working well, but it is provided on an "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure or error-free, or available in any particular location. We may carry out maintenance, updates and changes that make the Service temporarily unavailable, and no service-level commitment applies unless we agree to one in writing.
15. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service, all Outputs and all content are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, or that the Service will meet your requirements or expectations. Some jurisdictions do not allow certain disclaimers; in that case these disclaimers apply to the fullest extent permitted.
16. Limitation of liability
16.1. To the maximum extent permitted by applicable law, in no event will the Operator be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, savings, business, goodwill, data or use, or for the cost of substitute services, arising out of or relating to these Terms or the Service, however caused and under any theory of liability (contract, tort, negligence, strict liability or otherwise), even if we were advised of the possibility of such damages.
16.2. To the maximum extent permitted by applicable law, the Operator's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you actually paid for the Service during the twelve (12) months immediately preceding the event giving rise to the liability, and (b) one hundred New Israeli Shekels (₪100).
16.3. Without limiting the above, and to the maximum extent permitted by law, we are not liable for: (a) any decision or action taken or not taken based on the Service or any Output; (b) inaccurate, incomplete or miscategorized data or Outputs; (c) loss, corruption or deletion of User Content; (d) unavailability, interruption or delay of the Service; (e) acts or omissions of third parties, including banks, card companies, Google, hosting providers and Paddle; (f) unauthorized access to your Account resulting from your failure to keep your credentials secure; or (g) any event described in Section 18 (Force majeure).
16.4. These limitations are a fundamental element of the bargain between you and us, and the Service would not be provided without them. They do not exclude or limit liability that cannot be excluded or limited under applicable law, such as liability for fraud, for malicious acts, or for any other liability that the law does not allow to be limited; in such case our liability is limited to the fullest extent permitted.
17. Security and data incidents
We take reasonable technical and organizational measures to protect the Service and your data, as described in our Privacy Policy. However, no system is completely secure. To the maximum extent permitted by law, we are not liable for any unauthorized access to, or loss, alteration or disclosure of, data that results from events beyond our reasonable control, including attacks on or failures of third-party infrastructure. If a security incident occurs that affects your personal data, we will act as required by applicable law, including any notification obligations.
18. Force majeure
We will not be liable for any failure or delay in performing our obligations caused by circumstances beyond our reasonable control, including war, hostilities, military operations, terrorism, rocket attacks, a declared state of emergency, riots, epidemics or pandemics, natural disasters, fire, flood, strikes or labor disputes, government orders or regulations, power failures, failures of the internet, telecommunications, cloud or hosting providers, or cyber-attacks.
19. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless the Operator from and against any claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Service; (c) your breach of these Terms; or (d) your violation of any law or any third party's rights. We will notify you of any such claim and allow you to take part in its defense at your expense.
20. Suspension and termination
20.1. You may stop using the Service at any time. To delete your Account and its data, email us at orel.asc11@gmail.com. Cancelling a Subscription does not delete your Account, and deleting your Account does not by itself cancel a Subscription with Paddle; please cancel your Subscription first.
20.2. We may suspend or terminate your access to the Service, in whole or in part, immediately and without notice if: (a) you breach these Terms; (b) we reasonably believe your use creates a risk of harm, fraud, legal liability or security issues; (c) we are required to do so by law or a competent authority; or (d) we discontinue the Service, in which case we will give reasonable notice where practicable.
20.3. On termination, your right to use the Service ends. We may delete your Account and User Content after termination, subject to our Privacy Policy and any legal retention obligations. Sections that by their nature should survive termination (including Sections 6, 7, 8.4, 12, 13, 15 to 19, 22 and 23) will survive.
21. Changes to these Terms
We may update these Terms from time to time. The "last updated" date and version at the top of this page show when they last changed. If we make material changes, we will notify you in the Service or by email and ask you to accept the updated Terms before you continue using the Service. If you do not accept them, you must stop using the Service and may cancel your Subscription as described in the Cancellation & Refund Policy. Changes will not apply retroactively.
22. Governing law and jurisdiction
22.1. These Terms and any dispute arising out of or relating to them or the Service are governed exclusively by the laws of the State of Israel, without regard to its conflict-of-laws rules.
22.2. The competent courts in Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over any such dispute, and you and we consent to their jurisdiction. This does not deprive you of any right under mandatory law to bring proceedings in another court that has jurisdiction.
22.3. To the extent permitted by law, any claim relating to the Service must be filed within one (1) year after the facts giving rise to it became known to you, or it is permanently barred.
22.4. Before starting any legal proceedings, you agree to first contact us at orel.asc11@gmail.com and try in good faith to resolve the dispute informally for at least 30 days.
23. General
- Entire agreement. These Terms, the Privacy Policy and the Cancellation & Refund Policy are the entire agreement between you and us regarding the Service and supersede any prior understandings.
- Severability. If any provision of these Terms is held invalid, unenforceable or unfair (including under the Israeli Standard Contracts Law, 5743-1982), that provision will be limited or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will stay in full force and effect.
- No waiver. Our failure or delay in enforcing any right is not a waiver of that right.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms, in whole or in part, including in connection with a sale, reorganization or transfer of the Service or our business, provided your rights under these Terms are not reduced.
- Notices. We may send you notices by email to the address associated with your Account or through the Service. You may send notices to orel.asc11@gmail.com.
- Language. These Terms are available in Hebrew and English. If there is any conflict, the Hebrew version prevails.
- Relationship. Nothing in these Terms creates a partnership, employment, agency or fiduciary relationship between you and us.
- Headings. Headings are for convenience only and do not affect interpretation.
